STANDARD TERMS AND CONDITIONS OF SALE

These Terms and Conditions govern the sale of webTronex services and products. They serve as a general guideline; any deviations must be expressly agreed to in writing prior to service provision.

1. Waiver of Client’s Standard Terms:
   The client explicitly waives its own standard terms and conditions, even if these were formulated after these Terms and Conditions of Sale. Any derogation must be expressly agreed to in advance in writing.
2. Payment Terms:
   Invoices are payable within 21 working days, unless a different timeframe is specified on the invoice or order. In the event of non-payment by the due date, webTronex reserves the right to charge a fixed interest of 10% on the outstanding amount. webTronex may suspend services without prior notice if payment is delayed.
3. Debt Recovery:
   If payment remains outstanding for more than sixty (60) days after the due date, webTronex reserves the right to engage a debt recovery agency. All legal and recovery expenses incurred will be borne by the client.
4. Withholding Tax:
   Where applicable, any withholding tax required by the client’s country will be the sole responsibility of the client and must be remitted directly to the relevant tax authorities. Under no circumstances will webTronex cover any costs related to such local tax legislation. The invoice amount is due in full to webTronex, regardless of any withholding.
5. Service Performance and Limitation of Liability:
   webTronex commits to providing high-performance services within the agreed timeframes. However, these obligations do not constitute a guarantee of specific results. webTronex shall not be liable for any third-party claims or damages arising from the use of its services. Any claim must be reported in writing via registered mail to webTronex’s registered office within 8 days of service delivery.
6. Account Creation:
   For packages requiring manual account setup, the client acknowledges that account creation will be completed within 1–5 business days following receipt of payment.
7. Governing Law:
   All contractual relations arising from these Terms and Conditions shall be governed exclusively by the laws of Canada.

       By placing an order with webTronex, the client agrees to these Terms and Conditions.
